TERMS OF USE
User Agreement
This agreement establishes a relationship between CIC Mortgage Credit, Inc., Inc. (hereafter “CIC.”), and the person or entity identified herein as the “User”, “Company” or “Client”. All parties agree to the following terms and conditions:
1. It is the sole responsibility of the Client to ensure all users are authorized by Client and aware of the terms and conditions outlined in this Agreement. Furthermore, the Client and all users agree to act in total compliance with all provisions of the Fair Credit Reporting Act (FCRA), Americans with Disabilities Act (ADA), State, Federal and Local laws and regulations, as they pertain to obtaining and using information provided by CIC.. Client agrees to use any information obtained from CIC. for its own use exclusively and will not make this information available to third parties for any purpose whatsoever.
2. CIC. will make every reasonable effort to ensure the accuracy of information delivered. Client understands that CIC. relies on other entities, including but not limited to County Courts, District Courts, Departments of Correction, State Repositories, educational institutions, individuals and other sources for its information, and therefore cannot guarantee the accuracy or timeliness of information reported.
3. Client realizes that any conversation or communication with CIC. Representatives regarding searches, verifications or other services offered by CIC., is not to be considered a legal opinion regarding its use. The use of information furnished by CIC. should be done under the advice of competent legal counsel. Client agrees to indemnify and hold CIC. harmless from losses, damages or other consequences resulting from Client’s use of information or services provided by CIC., and is responsible for satisfying any expenses related to legal defense and settlements resulting from third-party claims or actions brought against CIC..
4. CIC. and Client/Users agree to mutually and individually hold all confidential information in strict confidence and will not make such information available to parties beyond those directly involved with its retrieval, development or delivery, or the subject of the searches. The term “confidential information”, for the purposes of this Agreement, shall refer to any and all information not available to the general public. This portion of the Agreement shall survive termination of this Agreement by either party.
5. This Agreement is effective immediately upon acceptance by CIC. or the placement of Client’s first order. The Agreement will remain in effect until the 30th day after either party serves the other with written notice of its intent to terminate the Agreement, with the exception of certain other circumstances identified below. Client may elect to terminate at any time for any reason. In the event of non-payment by Client, termination will take effect immediately upon CIC.’ decision to terminate. Written notification of such termination will be made in a timely manner. Termination of the Agreement by either party does not release Client from its obligation to pay for services rendered and any expenses related to the collection of such debt.
6. Because CIC. relies on other entities in collecting its information, prices are subject to change without notice. CIC. will make every effort to give notice of any such change. Client is given an opportunity to review all searches prior to submitting the order. Once a search(es) has been submitted, the client is responsible for the full expense of the search - no refunds will be made, regardless of the outcome. However, CIC. will consider any situation brought to its attention and will attempt to remedy the situation to Client's satisfaction.
7. Client and Users understand and agree that entering the information on the form required to become a Client and submitting this information electronically for consideration by CIC., represents a legally binding obligation equivalent to signing a printed version of the form. A facsimile or electronic version of the form shall be deemed as if it were the original agreement between CIC. and Client/User. Periodic modifications of this agreement may be made at the discretion of CIC.. In the event of a change to the User Agreement, Clients will be informed of the change and from that point forward will be bound by the conditions set forth in the most current version of the User Agreement.
8. Client agrees to make payment on invoices within 15 days of the invoice date. Amounts not paid may accrue interest at the rate of 1.5% per month or at the highest rate allowed by law, whichever is less, from the due date until such time as the debt is paid. Any Client/User that chooses to use a credit card for making purchases hereby authorizes CIC. to debit the credit card account for services rendered. Clients using a credit card to guarantee a credit account authorize CIC. to debit the credit card account for services rendered in the event of non-payment according to the 15 day terms. Clients and Users understand and agree that providing credit card information and submitting it electronically to CIC. represents a legal authorization to debit the card for orders placed. Client agrees to advise CIC. of any change in status of any credit card used to guarantee a credit account. Client also agrees to pay or reimburse CIC. for all costs related to the collection of past-due accounts, including but not limited to attorney’s fees and court costs.
9. Any account that remains inactive for a period of 6 months shall be deemed inactive and may be terminated.
10. Should any portion of this Agreement be deemed unenforceable or invalid, the remainder of the Agreement shall remain binding and intact.
11. This Agreement does not establish a joint venture or partnership. The relationship established by this Agreement is limited to the specifications herein.
12. Notices of changes, termination or other messages requiring delivery may be made electronically or via first class mail.
13. Client may not assign this Agreement without prior consent from CIC..
14. Privacy Statement: CIC. does not share customer-related information with individuals or entities that are not directly involved in the execution of its services. With regard to information retrieved on behalf of its customers, CIC. makes the results of its searches available only to its clients and authorized users, and in compliance with the specifications of the Fair Credit Reporting Act (FCRA). The transfer of information is protected by several layers of security, including password protection, encryption, network firewalls and under some circumstances, supplemental written authorization. Under no circumstances will the personal information collected and maintained in our system ever be sold or provided to an outside entity for any purpose.
15. Client/User agrees that they have reviewed this Agreement in its entirety and accept all of the conditions established herein.
